Terms of sale

1. Research use only

These materials are supplied for laboratory research purposes only. They are not medicines and are not supplied for administration to humans or animals. They must not be resold or supplied onward for human or veterinary use. The buyer is responsible for compliance with the law in their own jurisdiction, including any licence, import or controlled-substance requirements.

The materials supplied are chemical reagents intended for laboratory research. They are not medicinal products, hold no marketing authorisation, and have not been assessed for safety or efficacy in humans or animals.

2. Who may buy

Orders are accepted from buyers aged 18 or over who are purchasing for laboratory research, whether or not they hold an account. Where an order is placed on behalf of an organisation, its details are recorded against the order. Materials are not supplied for personal use, and an order may be refused or cancelled where there is reason to believe they will be used otherwise.

The buyer confirms at checkout that the materials are being purchased for laboratory research purposes only, and not for human or veterinary consumption. That confirmation is recorded against the order.

3. Restrictions on resale and onward supply

• Materials must not be resold or supplied onward for human or veterinary use.
• Materials must not be administered to any person or animal.
• Materials must not be repackaged, relabelled or presented in any way that suggests they are suitable for consumption.

Nexaflow Research Limited may refuse or cancel any order, and may suspend an account, where there is reason to believe these restrictions are not being observed.

4. The buyer’s responsibilities

The buyer is responsible for determining that the material is suitable for its intended research purpose, for handling and storing it appropriately, for the competence and supervision of those handling it, and for disposing of it lawfully.

The buyer is responsible for compliance with the law in their own jurisdiction, including any licensing, import, export or controlled substance requirements. Nothing supplied should be taken as advice that a particular material may lawfully be held or used in a particular place.

5. Specification and certificates

Material is supplied to the specification stated on the certificate of analysis for the lot supplied, and that lot number is recorded against the order line. Where material does not meet the specification on its certificate, it will be replaced or refunded in full.

6. Price and payment

Prices are quoted in pounds sterling, exclusive of VAT where applicable, and are for the vial fill stated. Shipping is charged at a flat rate per order.

Payment is by bank transfer to the company’s own account, quoting the order reference. The account is in the company’s registered name and its details do not change; a request to pay any other account should not be acted on. An order is dispatched only once payment has been received, and an order not paid within 7 days of being placed is cancelled. If an order cannot be supplied, the full amount is refunded to the account it was paid from.

7. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.

Subject to that, Nexaflow Research Limited accepts no liability for any loss arising from use of the materials otherwise than as reagents in laboratory research by competent persons, and accepts no liability whatsoever in respect of any administration of the materials to a person or animal.

8. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
